1. Responsibilities of Ready Kids OT
1.1 Enrich Therapy Pty Ltd (hereinafter referred to as “Ready Kids”) delivers services in both virtual and in-person formats. Ready Kids agrees to deliver the Services outlined in the associated proposal or program with due care, skill, and diligence.
1.2 Ready Kids agrees to provide coaching, mentoring, workshops, environmental assessments, strategy reports, leadership meetings, and other agreed deliverables within a reasonable timeframe. If the childcare centre (“Centre”) does not engage with or utilise services within 12 months of the purchase date, the services will be deemed completed and non-refundable.
1.3 Ready Kids will make every effort to ensure continuity of service by the same Occupational Therapist. Where substitution or additional attendance is required due to illness, leave, supervision, onboarding, training, or other operational reasons, Ready Kids may assign another suitably qualified Occupational Therapist or team member from the team to attend or support service delivery.
1.4 Screening assessments conducted by Ready Kids are brief tools intended to provide a general snapshot of a child’s strengths and areas of challenge. They are not formal or diagnostic assessments. The Centre acknowledges that screening results provide indicative information only and agrees to manage both educator and parent expectations accordingly. Ready Kids is not expected to provide detailed reports, diagnostic conclusions, or information beyond what the screening tool is designed to show. Ready Kids does not provide one-on-one intervention or individual therapy services to children as part of the OT Support for Educators program.
2. Responsibilities of the Childcare Centre
2.1 The Centre shall be responsible for timely communication with Ready Kids. Failure to provide prompt responses to requests for information, scheduling, or other necessary correspondence may impact service delivery. Ready Kids shall not be held responsible for delays resulting from lack of timely communication.
2.2 The Centre shall notify Ready Kids of any confirmed or suspected outbreaks of communicable illnesses (including but not limited to gastroenteritis, hand-foot-and-mouth disease, influenza, and COVID-19) as soon as practicable, so that sessions may be rescheduled if required. This is to prevent the spread of illness between Centres visited by Ready Kids staff.
2.3 The Centre shall notify Ready Kids of any significant staffing changes, including turnover of key educators or changes in team structure that may affect implementation or delivery of services.
2.4 To facilitate effective service delivery, the Centre agrees to ensure educator attendance, provide suitable access to classrooms or areas required for observation, support pre- and post-data collection, and maintain open communication. The Centre is also responsible for communicating relevant information provided by Ready Kids to its staff, including access to online resources and the distribution of service-related communications such as strategy reports or follow-up information.
2.5 The Centre is responsible for all communications with parents or guardians regarding scheduling, permissions, and notification of Ready Kids Occupational Therapists attending the Centre, along with any other relevant information.
3. Rescheduling and Cancellations
3.1Ready Kids reserves the right to reschedule any scheduled session or activity due to reasons including but not limited to illness, emergencies, or unforeseen circumstances. Where a reschedule is initiated by Ready Kids, the Centre will be notified as soon as practicable and an alternative date will be arranged.
3.2 Avoidable rescheduling – administrative fees
Once a session date is confirmed and booked, an administrative fee may apply where a rebooking is requested by the Centre due to avoidable scheduling changes. This reflects the time required to manage scheduling, avoid conflicts with other appointments, and ensure staff availability.
3.3 Unforeseen circumstances – notification and fee exception
Centres should carefully consider staff availability before confirming session dates. If a key educator involved in the support session becomes unavailable due to unforeseen circumstances, the Centre must notify Ready Kids as soon as practicable. In such circumstances, an administrative fee will not generally apply to rebooking.
3.4 Unavoidable rescheduling – rebooking expectations
In the event of illness or unavoidable rescheduling, the Centre agrees to rebook the affected virtual or in-person session within a reasonable timeframe, subject to Ready Kids’ availability. Ready Kids may accommodate later scheduling, including delivery in the following term or calendar year, where mutually agreed.
3.5 Day-of rescheduling after travel has commenced
Where Ready Kids has commenced travel to the Centre for a scheduled in-person session, the session will not be cancelled or rescheduled. In such circumstances, the service will proceed as scheduled and be delivered with available staff present at the Centre. It is the Centre’s responsibility to notify Ready Kids as early as practicable on the day of delivery if rescheduling is required, to avoid unnecessary travel.
3.6 Where a defined project timeframe applies, both parties may agree to adjust the schedule to ensure deliverables and outcomes are achieved within reasonable grounds.
4. Payments and Refunds
4.1 Quoted fees include travel and standard resource costs unless otherwise specified. Additional visits or services outside the original scope may attract further charges, which will be communicated in advance.
4.2 All payments made to Ready Kids for services rendered under the OT Support for Educators program are non-refundable. This includes but is not limited to fees for courses, coaching and mentoring, presentations, Q&A sessions, and any other services.
4.3 The Centre remains financially responsible for all services provided by Ready Kids, regardless of whether payment is funded in whole or in part by a government grant, subsidy, or external funding source. Where the Centre agrees to engage Ready Kids’ services but does not receive anticipated government funding, the Centre remains liable for full payment of the agreed fees.
5. Expiry of Unused Services
5.1 If the Centre does not utilise their purchased services within 12 months of the purchase date, those services will be considered forfeited and deemed as completed, with no entitlement to refund or credit.
6. Access to Online Resources and Community
6.1 The Centre and its educators shall be granted access to Ready Kids’ online resources, including online courses, Q&A sessions, the community platform, the OT resource toolbox, replays of recordings, and product recommendation libraries, for the calendar year in which the service was purchased. Access will cease on 31 December of that year.
6.2 Live sessions missed by the Centre or educators shall not be credited, rescheduled, or refunded.
6.3 Group-based sessions and platforms offered by Ready Kids, including Q&A sessions, the online community, and ECT-only webinars, are not private or exclusive to any one Centre. Participants acknowledge that information shared during these sessions may be visible to others and agree to maintain confidentiality. Ready Kids is not responsible for information disclosed by participants in these group-based forums.
6.4 The Centre must not share any passwords or login details, or any online resources, materials, recordings, or content provided by Ready Kids, with any other childcare centre or any person outside the Centre.
7. Confidentiality and Information Sharing
7.1 Ready Kids agrees to take reasonable steps to maintain confidentiality and security of information relating to children, families, and educators, including secure storage, password-protected systems, and restricted access to authorised staff only.
7.2 All intellectual property, frameworks, resources, and materials developed or provided by Ready Kids remain the sole property of Ready Kids. The Centre is granted a non-transferable licence for internal use only and must not reproduce, distribute, or modify materials without written consent.
7.3 Ready Kids retains ownership of all information, data, feedback, and materials collected or generated in connection with service delivery, including (but not limited to) evaluation data, feedback, participation in Q&A sessions, and recordings of presentations or group sessions. By participating in Ready Kids services, the Centre consents to the collection and use of such information across all aspects of service delivery for purposes including quality improvement, training, service development, and marketing.
7.4 By accessing Ready Kids services, including online courses, communities, and related platforms, educators and Centre representatives consent to receive service-related communications and newsletters from Ready Kids. Individuals may opt out of receiving marketing communications at any time using the unsubscribe option provided in those communications.
8. Optional Programs and Services
8.1 From time to time, the Centre may elect to purchase or receive access to optional programs or services offered by Ready Kids.
8.2 Where applicable, optional programs are governed by the terms set out in the relevant Schedule(s) attached to this Agreement and form part of this Agreement where selected or provided.
9. Limitation of Liability
9.1 Ready Kids maintains professional indemnity and public liability insurance.
9.2 Ready Kids shall not be liable for any indirect, incidental, special, or consequential damages arising from the provision of services.
9.3 The Centre agrees to indemnify and hold harmless Ready Kids, its officers, employees, and agents from any and all claims, damages, or losses arising out of the Centre’s failure to comply with these terms.
9.4 All strategies, observations, recommendations, or suggestions provided by Ready Kids are offered in an advisory capacity only and are based on information available at the time of service delivery. The Centre remains responsible for conducting its own risk assessments and determining the suitability, safety, and implementation of any recommendations within its specific environment and operational context. Ready Kids is not responsible for outcomes arising from the Centre’s implementation or non-implementation of recommendations.
9.5 Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, government restrictions, pandemics, or other unforeseeable events.
10. Dispute Resolution
10.1 In the event of a dispute, both parties agree to attempt to resolve the matter in good faith through informal discussions.
10.2 If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation before commencing legal proceedings.
11. Termination
11.1 Either party may terminate this agreement by providing 30 days’ written notice.
11.2 The Centre remains liable for services already delivered or scheduled within the notice period.
11.3 Any refunds or credits for undelivered services remain at the discretion of Ready Kids and may be subject to administrative costs.
12. Governing Law
12.1 These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which Ready Kids operates in Queensland, Australia.
12.2 Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
13. Entire Agreement
13.1 These terms and conditions, together with any applicable Schedules, constitute the entire agreement between Ready Kids and the Centre, superseding all prior agreements or understandings regarding the services described herein.
13.2 The current version of these Terms and Conditions is available at [insert URL]. This version will always reflect the most up-to-date terms. Ready Kids may update these Terms and Conditions from time to time and will notify the Centre by email when material updates are made. It is the Centre’s responsibility to review the updated Terms and Conditions. Continued engagement with Ready Kids services following notification constitutes acceptance of the updated terms.
Schedule A – ECT ProSupport
This Schedule applies only to Centres who have purchased ECT ProSupport.
A1. Cancellation Policy
- If the Centre is on a one-time quarterly plan, they may cancel at any time with no fee. Future quarters simply stop.
- If the Centre is on a yearly commitment and cancels early, the cost of each completed quarter is adjusted to the one-time quarterly rate. The exit fee is the amount the Centre would have paid at the one-time quarterly rate, minus what has already been paid at the discounted yearly rate.
- This exit fee is fully waived if the Centre completes an exit interview.
- No fees apply to future quarters after cancellation.
- To cancel ECT ProSupport, the Centre must notify Ready Kids by phone or in writing by emailing info@readykids.com.au.
- Notice of cancellation must be received before the end of the current quarter for the cancellation to take effect for the following quarter.
A2. Growth Credit
- Growth Credit is issued based on the Centre’s active ECT ProSupport subscription.
- Growth Credit may be applied to eligible Ready Kids’ services as communicated to the Centre.
- Growth Credit has no cash value and is non-transferable.
- Growth Credit cannot be applied to past invoices or used as a refund or credit for previously delivered services.
- Growth Credit remains valid only while the Centre maintains an active ECT ProSupport subscription and may expire if the subscription ends.
- Ready Kids may adjust the Growth Credit system or its conditions at any time, with 30 days’ notice provided to the Centre.
A3. Use of Check-In Meetings
- Check-in meetings and leadership meetings included in ECT ProSupport must be booked and used within the applicable quarter. Any unused meetings do not roll over to future quarters and will be forfeited if not used within the agreed timeframe.
Schedule B – Bonus Programs
B1. Bonus Programs
- From time to time, Ready Kids may offer complimentary bonus programs or additional services at no extra cost (“Bonus Programs”). These may vary between Centres and are provided at the discretion of Ready Kids.
B2. Nature of Bonus Programs
- Bonus Programs are complimentary and do not form part of the paid service agreement but remain subject to these Terms and Conditions. Bonus Programs may vary between Centres and are not guaranteed unless expressly confirmed in writing. Ready Kids may change, update, or withdraw Bonus Programs that have not yet commenced or been accessed by the Centre, or that are offered on a discretionary or time-limited basis.
